1. Introduction

THE COMPETITION IS VOID WHERE PROHIBITED BY LAW. BY PARTICIPATING, YOU AGREE TO THESE OFFICIAL RULES. NO ENTRY FEE.

The Competition begins on September 21, 2026 and ends on October 25, 2026.

PARTICIPATING IN THE COMPETITION CONSTITUTES YOUR ACCEPTANCE OF THESE OFFICIAL RULES. BY PARTICIPATING IN THE COMPETITION, YOU REPRESENT AND WARRANT YOU MEET THE ELIGIBILITY REQUIREMENTS STATED IN THESE OFFICIAL RULES AND ACKNOWLEDGE THAT FAILURE TO MEET ALL ELIGIBILITY REQUIREMENTS WILL RESULT IN YOUR DISQUALIFICATION. A COPY OF THESE OFFICIAL RULES WILL BE AVAILABLE FOR THE DURATION OF THE COMPETITION.

Welcome to the "Veranta Trading Competition" ("Competition"), a global onchain competition hosted by Veranta Foundation ("Veranta"). By participating in the Competition, you agree to comply with and be bound by these Official Rules. Please review these provisions carefully. If you do not agree with the Official Rules, you should not participate in the Competition.

2. Eligibility

The Competition is open to individuals who are 18 years of age or older at the time of entry and are not residents of any countries or regions sanctioned by the U.S. Office of Foreign Assets Control (OFAC). Employees, representatives, and agents of Veranta, as well as their immediate family members and members of their households, are not eligible to participate.

Veranta geoblocks users from the US and all sanctioned countries ("BY" "CU" "IR" "KP" "RU" "SY" "US") and flags risky wallets (sanctioned addresses) that are fed in from chainalysis to ensure they aren't accessing the platform.

3. Scoring Criteria

Competition participants will receive scores based on their trading volume and profit and loss performance (P&L). All participants will agree to the Terms of Service presented in the Veranta onboarding flow. The scoring and final determination of the winner(s) will be at the sole discretion of Veranta.

4. Prizes

Details regarding the prizes will be provided in the Veranta app. Prizes are non-transferable and no substitution or cash equivalent is permitted. All taxes and other expenses, costs, or fees associated with the acceptance and/or use of any prize are the sole responsibility of the winners. DISCLOSURE: THE VALUE OF A DIGITAL CURRENCY OR OTHER PRIZE, OTHER THAN STABLECOINS, IS SUBJECT TO CHANGE, AND THERE CAN BE A SUBSTANTIAL RISK THAT IT COULD LOSE VALUE (POSSIBLY ALL VALUE) AS A RESULT OF BUYING, SELLING, OR HOLDING THE PRIZE.

5. Disqualification

Veranta reserves the right to disqualify any participant who violates these Official Rules or engages in any conduct that is detrimental or unfair to the Competition.

6. Release

To the extent permitted by law, participants/winners agree to release, discharge and hold harmless Released Parties from and against any claim or cause of action or liability (including but not limited to, personal injury, death or damage to or loss of property as well as claims based on publicity rights, defamation and/or invasion of privacy) arising out of or in connection with participation in the Competition or acceptance/receipt/use or misuse of any prize, and agree to be bound by the Official Rules and the decisions of Veranta and/or Veranta's representatives. Acceptance of a prize constitutes permission for the Released Parties and its agencies to use winner's name, likeness, photograph and/or hometown and state for advertising and trade without further compensation, in any media, worldwide, unless prohibited by law.

7. Disputes, Class Action Waiver and Agreement to Arbitrate

Participants and Veranta agree that any dispute, claim, or disagreement arising out of or relating in any way to this Competition, including any dispute, claim, or cause of action relating to any prizes awarded in this Competition, and including any dispute, claim, or cause of action arising out of or related to the interpretation or application of this arbitration provision, including the enforceability, revocability, scope, or validity of this arbitration provision (each, a "Dispute") will be resolved by binding arbitration, rather than in court, except that: (i) participants or Veranta may assert claims or seek relief in small claims court if such claims qualify and remain in small claims court; and (ii) participants or Veranta may seek equitable relief in court for infringement or other misuse of intellectual property rights (such as trademarks, trade dress, domain names, trade secrets, copyrights, and patents). For purposes of this Arbitration Agreement, "Dispute" includes disputes that arose or involve facts that occurred before or after this Competition.

8. Limitation of Liability

IN NO EVENT WILL COINBASE TECHNOLOGIES, INC., COINBASE, INC., ITS PARENTS OR ANY OF ITS AFFILIATES, DPM LABS, INC., OR Veranta ("RELEASED PARTIES") BE LIABLE TO YOU FOR ANY DIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF USE, DATA, BUSINESS OR PROFITS) ARISING OUT OF OR IN CONNECTION WITH YOUR PARTICIPATION IN THE COMPETITION OR PROGRAMS ARISING OUT OF THE COMPETITION INCLUDING BUT NOT LIMITED TO SUBSEQUENT PARTNER PROGRAMS, WHETHER SUCH LIABILITY ARISES FROM ANY CLAIM BASED UPON CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, AND WHETHER OR NOT Veranta HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS OR DAMAGE.

8. General Conditions

Veranta reserves the right to cancel, suspend, or modify the Competition or any part of it, if any fraud, technical failures, or any other factor beyond Veranta's reasonable control impairs the integrity or proper functioning of the Competition.

9. Governing Law

These Official Rules shall be governed by and construed in accordance with the laws of the jurisdiction in the Cayman Islands which Veranta is located, without regard to its conflict of laws principles.

10. General

ANY ATTEMPT BY AN INDIVIDUAL TO DELIBERATELY UNDERMINE THE LEGITIMATE OPERATION OF THIS COMPETITION IS A VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, Veranta RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW. Veranta will not be responsible for lost, late, damaged, misdirected or mutilated mail, misdirected email, or for any technical problems, faulty, lost, garbled, incomplete, incorrect or mistranscribed data transmissions, incorrect announcements of any kind, malfunctions, technical hardware or software failures of any kind including any injury or damage to any person's computer/mobile device related to or resulting from participating in or experiencing any materials in connection with this Competition. Veranta is not responsible for malfunctions or breakdown of any network systems, unavailable service connections, lost, incomplete, faulty network connectivity of any kind, failures of any service providers, or any combination thereof, which may limit a person's ability to participate in this Competition. Veranta reserves the right to suspend, cancel or modify the Competition if it cannot be executed as planned for any reason including, but not limited to, if fraud, human error, technical failures, or any other factor impairs the integrity or proper functioning of the Competition; or if a virus, bug, or other technical problem corrupts the administration, security, or proper play of the Competition as determined by Veranta in its sole discretion. Veranta reserves the right to prohibit the participation of an individual if fraud or tampering is suspected. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in promotional materials and the terms and conditions of the Official Rules, the Official Rules shall prevail, govern, and control. Veranta will not be responsible for any typographical or other error in the printing of the offer, administration of the Competition or in the announcement of the prizes. If any provision or part of a provision of these Official Rules is found to be unlawful, void, or for any reason unenforceable, then that provision or part of the provision shall be deemed severable from these Official Rules and shall not affect the validity and enforceability of any remaining provisions.

By participating in the Competition, you acknowledge that you have read, understood, and agree to be bound by these Official Rules.
